Please take the time to read this document as it lays out the terms and conditions upon which we agree to act for you, as well as setting out our responsibilities to you and your responsibilities to us. Please let us know if there is anything in this document which you do not understand or with which you disagree. Your receipt of this document constitutes your informed consent as to its contents.

This agreement is intended for commercial customers rather than consumers (retail customers); commercial customers are those that are – to any extent – acting within their trade, business or profession.

Our Service
I.T. Just Done Ltd provides IT consultancy, products and services to other commercial entities. Examples include – but are not limited to:  SAFE, ERP consultancy, web development and fit-out design, implementation and maintenance.

 

Law and Jurisdiction
These Terms of Business shall be governed by and construed in accordance with the laws of England and the exclusive jurisdiction of the English courts unless we agree with you otherwise.

If you are domiciled in a country other than the UK, the law or regulations in your country of domicile may take precedence over any relevant UK legislation.

 

Quotations
Quotations are valid up to a maximum of 30 days, unless otherwise stated.

 

Rights
Once transferred to digital format, archive data will be securely stored on multiple servers, across multiple physical locations. All data will be treated as confidential, with appropriate data security methods (both physical and software) employed. Data access within I.T. Just Done will be restricted to only employees that need such access to perform their function.

As part of our service, I.T. Just Done will provide free access as defined by the customer to their data only for any lawful purpose. All access will be tracked and this information will be made available on written request.

 

Details specific to S.A.F.E. (Safe Access for Education)
S.A.F.E. (or SAFE) refers to the internet, email and security package offered by I.T. Just Done for Education.

 

Costs
Fees paid to I.T. Just Done are for the following products and services:

  • The SAFE hardware
  • Internet connection and provision
  • Email hosting
  • Installation and set-up
  • Bespoke ‘Heartbeat’ system monitoring
  • Remote backup storage
  • Remote monitoring
  • Support
  • Subscription to our fortnightly blacklist updates
  • Additional bespoke services

I.T. Just Done does not charge for any open-source software included in its product.

 

Payment Terms
Payment terms are typically determined on a per-contract basis. Typical terms include, but are not limited to:

S.A.F.E.
The standard payment terms for SAFE are for a split payment:

  • 50% deposit is payable on order. Typically installation happens a minimum of 3 weeks after cleared funds are received
  • The balance is payable 30 days after installation

SAFE contracts run for 12 months. Subsequent years can be quoted for at a reduced rate and indicative prices are usually included in a SAFE quote. To offer the maximum flexibility to the customer, these are not fixed prices and may fluctuate over time with our suppliers’ fees. If at any time our next year prices need to increase significantly (over 15%) from indicated, we will notify existing customers as soon as possible.

Bespoke Services

  • 30 days from date of invoice

In all cases, we understand and will exercise our statutory right to interest under the Late Payment of Commercial Debts (Interest) Act 1998 if we are not paid according to agreed credit terms.

I.T. Just Done is committed to providing the best quality of service possible and will work with customers wherever possible to avoid having to pursue legal recourse.

 

Web Hosting
Unless otherwise agreed, the responsibility for making regular backups of website data is the customers sole responsibility.  I.T. Just Done makes reasonable steps to ensure data consistency (multiple drive storage etc), but cannot be held responsible for any data loss incurred by the customer.

We choose our web hosting carefully to ensure a high uptime – typically 99.9% monthly. It is important for customers to recognise however that outages & downtime may occur from time to time – even if only for routine maintenance.

 

JoMo Mail
Our email service offers a multi-layer spam and virus filtering service that is constantly in development to provide the highest level of service. Customers can help by sending spam mails that do get through to spam@itjustdone.co.uk – this mailbox is unmonitored and should not be used for communication.

Unless otherwise agreed, I.T. Just Done makes only periodic backups of this data and cannot be held responsible for any loss of email history through user error, server failure or any other means.

 

By accepting this Terms of Business document, you are giving your consent for us to operate in this way.

 

Protecting your information
All personal information about you will be treated as private and confidential (even when you are no longer a customer), except where the disclosure is made at your request or with your consent in relation to administering our business, or except where law requires us.

Your data will be held in accordance with the Data Protection Act 1998, under which you have a right of access to see personal information about you that is held in our records, whether electronically or manually. If you have any queries, please write to Joe McNulty (the Managing Director) at the above address.

In the interests of security and staff training, please be aware that phone calls may be monitored and recorded.


Complaints

It is our intention to provide a high level of service at all times. However if there is reason to make a complaint about our service you should contact Joe McNulty at the above address or email complaints@itjustdone.co.uk  We will always demonstrate promptness and fairness with which we will strive to resolve any complaints.

Severability
If any provision of these Terms of Business is found to be invalid or unenforceable in whole or in part, the validity of the other provisions of these Terms of Business and the remainder of the provision in question will not be affected

Assignment
We are entitled to assign the benefits of these Terms of Business (but not the burdens as set out in these Terms of Business) to any other company within the Group of Companies of which we are part but then only for so long as such Company remains a member of such Group.

We are entitled to transfer Client Monies to a similar bank account held in the name of any other company within the Group of Companies of which we are a part but the only for so long as such Company remains a member of such Group.

Rights of Third Parties
Unless otherwise agreed between us in writing, no provision of this Terms of Business is enforceable under the Contracts (Rights of Third Parties) Act 1999 by any person other than the customer or us.
